Client Responsibilities

You agree to:

• Assign a qualified point of contact.

• Review deliverables in a timely manner.

• Secure required approvals, permits, and access.

Delays caused by missing information or approvals may affect schedule and fees.

Fees and Payment

Fees, billing milestones, and payment terms are defined in the applicable agreement. Invoices are due according to stated terms. Late payments may result in suspension of services.

Intellectual Property

All drawings, documents, specifications, reports, and other deliverables remain the intellectual property of ERG Design Group until full payment is received. Upon payment, you receive a non exclusive license to use deliverables solely for the intended project.

Reuse, modification, or application to other projects without written consent is prohibited.

Confidentiality

Both parties agree to protect confidential information received during the course of a project. Confidential information includes business, technical, and project related data not publicly available.

Third Party Products and Services

We may reference or coordinate with third party manufacturers, integrators, contractors, or service providers. ERG Design Group does not control third party performance and is not responsible for their products, services, or warranties.

Limitation of Liability

To the maximum extent permitted by law, ERG Design Group is not liable for indirect, incidental, or consequential damages. Our total liability for any claim related to services is limited to the fees paid for the specific services giving rise to the claim.

Indemnification

You agree to indemnify and hold ERG Design Group harmless from claims arising from misuse of deliverables, unauthorized modifications, or use beyond the agreed project scope.

Termination

Either party may terminate services in accordance with the governing agreement. You are responsible for payment for services performed up to the termination date.

Website

Use Website content is provided for general information purposes. We make no warranties regarding accuracy or completeness. Unauthorized use of website content is prohibited.

Governing Law

These Terms and Conditions are governed by the laws of the State of California, without regard to conflict of law principles.
